Preface

Welcome to RecCloud VoiceCap!

Before using the RecCloud VoiceCap service, please carefully read and fully understand all terms of this Agreement, particularly the provisions highlighted in bold, which pertain to limitations of rights, disclaimers or exemptions of liability, governing law, dispute resolution, and other critical clauses.

Confirmation and Acceptance of Terms

1. RecCloud VoiceCap is legally owned and duly operated by WANGXU TECHNOLOGY (HK) CO., LIMITED and its affiliates (hereinafter referred to as the "Company").

2. By expressly agreeing to or commencing the use of RecCloud VoiceCap and its related services, you, as a party to this Agreement, enter into a binding agreement with the Company (including, but not limited to, the RecCloud VoiceCap Privacy Policy, RecCloud VoiceCap Membership Service Agreement, etc.), and shall be subject to the terms herein.

3. If you are a minor under the age of 18, you must review this Agreement under the guidance of your legal guardian and obtain their consent before using this software.

4. If you have any questions, comments, or suggestions regarding this Agreement, you may contact us at https://reccloud.com/contact or by emailing privacy@wangxutech.com. If you do not agree to these terms, you will be unable to access all features of the software, and we encourage you to discontinue use. By explicitly agreeing to these terms and continuing to use the software, you accept all conditions outlined herein. If you do not agree with this agreement, the software will be unable to provide you with complete services, and you may choose to stop using the software. However, by expressly agreeing to this agreement and continuing to use the software, you are deemed to accept and be bound by all terms of this agreement.

Account Registration and Management

1. You may register an account and use this software by selecting an appropriate method through the login/registration page. Upon successful registration, you will be assigned a unique user ID to identify your account. You acknowledge and confirm that data associated with different accounts you own for RecCloud VoiceCap are not interconnected unless you link those accounts. You have the right to choose a lawful combination of characters as your account name and set a password that meets security requirements.

2. You acknowledge and confirm that your RecCloud VoiceCap account is for your personal use only.

3. You acknowledge and confirm that you are solely responsible for the authenticity, legality, and validity of the registration information you provide for RecCloud VoiceCap. If the information or materials you submit are inaccurate, untrue, non-compliant, or unlawful, or if the company has reasonable grounds to suspect that the information is incorrect, false, or unlawful, the company reserves the right to refuse to provide related services. As a result, you may be unable to use RecCloud VoiceCap and related services, or certain functions may be restricted during use.

4. In addition to registering a RecCloud VoiceCap account directly, you may also choose to log in and use RecCloud VoiceCap and related services through authorized third-party software accounts you legally own, unless such third-party software or platforms impose restrictions or prohibitions.

5. The account nickname, profile picture, and other related information you set must not contain any illegal or improper content that violates public order or morals. You must not maliciously register RecCloud VoiceCap accounts (including, but not limited to, frequent or bulk registrations), as such actions will be considered a serious violation of this agreement. The company reserves the right to review the registration information you submit.

6. You acknowledge and confirm that all ownership and related rights to the RecCloud VoiceCap account belong to the company. Upon completing the registration process, you are granted only the right to use the account. Your account is for your personal use only, and without the company’s written consent, you are prohibited from gifting, lending, renting, transferring, selling, or otherwise permitting others to use the account in any form. If the company discovers or has reasonable grounds to believe that the account user is not the original registrant, the company reserves the right, without prior notice, to suspend or terminate services to that account, permanently disable it, or cancel it, without bearing legal liability to the account’s registered user.

7. You have the right to delete your RecCloud VoiceCap account by navigating to:

  • Webpage: Click on your avatar → My Account → Settings → Delete Account.
  • App: Tap on Me → Avatar → Delete Account.

Alternatively, you may contact our staff to provided by RecCloud VoiceCap to assist with the account deletion process. You acknowledge and confirm that account deletion is irreversible, and all associated data cannot be recovered. You are responsible for all actions taken with your account prior to deletion.

User Conduct Guidelines

1. You may not use any unauthorized plugins, add-ons, systems, programs, or third-party tools to interfere with, disrupt, modify, or otherwise affect the normal operation of the Service, including but not limited to using automated scripts (e.g., "bots," "spiders," or "offline readers") to access the platform, interact with the Service, or excessively consume system/network resources, or overloading servers, networks, or other infrastructure in a way that disrupts service for other users.

2. You may not use the Service to create, upload, copy, publish, distribute, or repost any content that violates laws or regulations or infringes upon the rights of third parties.

3. You must not engage in any activities that compromise computer network security in relation to RecCloud VoiceCap, including but not limited to the following:

  • Unauthorized network access, data theft, or disruption of normal network operations.
  • Distributing tools designed for hacking, network interference, or data theft.
  • Assisting others in harmful activities (e.g., providing technical support, advertising, or payment services).
  • Accessing unauthorized data, servers, or accounts.
  • Tampering with public or private computer systems (e.g., deleting, modifying, or adding data without permission).
  • Disrupting the Service (e.g., spreading malware, viruses, or executing denial-of-service attacks).
  • Spoofing TCP/IP packet headers.
  • Reverse engineering, decompiling, or attempting to derive the Service’s source code.
  • Any other unlawful, prohibited, or rights-infringing actions.

4. While we employ commercially reasonable measures to safeguard your data, absolute security cannot be guaranteed. Key limitations include:

  • No liability for data loss caused by factors outside the Service’s control.
  • User responsibility to back up data unless otherwise agreed.
  • Permanent deletion of all data upon account closure (non-recoverable).
  • Non-member users: AI-generated content and audio/text data will be permanently deleted after 1 month of account inactivity (account remains active).

Platform Policies

1. RecCloud VoiceCap reserves the right to refuse publication, immediately suspend transmission, remove content, or ban accounts without constituting a breach of contract when users create, upload, copy, publish, disseminate, or repost the following prohibited content:

  • Personal Attacks: Insults, defamation, malicious incitement of hostility, or hate speech targeting specific individuals or groups;
  • Pornography: Obscene or sexually explicit material, including links/accounts distributing such content;
  • Malicious Websites: Links to sites containing malware, viruses, or illegal content;
  • Gambling/Fraud: Promotions of gambling, scams, or related links/accounts;
  • Prohibited Content: Material violating laws (e.g., drugs, terrorism, murder, cults, superstition) or endangering national security/unity;
  • Vulgarity: Excessively vulgar content or associated links/accounts;
  • Violence/Gore: Graphic depictions of violence or bloodshed;
  • Incitement: Content encouraging violence, illegal acts, or life-threatening behavior;
  • Privacy Violations: Harassment, coercion, or unauthorized disclosure of personal data;
  • Spam Ads: Unsolicited promotional content;
  • Misinformation: Deliberate spread of false/unverified information harming the community;
  • Impersonation: Malicious mimicry of other users;
  • Malicious Submissions: Repeated uploads of banned content or circumventing review processes;
  • Cybersecurity Threats: Exploiting technical vulnerabilities to compromise security;
  • Other Prohibited Content: Material prohibited by laws.

2. Reporting Inappropriate Content

As part of the RecCloud VoiceCap community experience, you may report any content you deem inappropriate or falling under the prohibited categories listed in Section 1 above. Reported content will be promptly removed upon verification of violations.

Privacy Protection

1. Personal Information Protection Policy
The RecCloud VoiceCap Personal Information Protection Policy (see details at: reccloud.com/voicecap-privacy) is a fundamental and essential policy of our service. We place utmost importance on protecting users' personal information and privacy matters. You may review the full policy via the above link to ensure your legal rights are safeguarded.

2. Third-Party Data Sharing

RecCloud VoiceCap may collaborate with other companies or software providers. Without your explicit authorization and without ensuring that third-party companies or software providers can uphold the same level of privacy protection responsibilities as RecCloud VoiceCap, we will not share your personal information with any third party.

3. Security Measures

Your personal data security is our priority. We strictly comply with applicable laws and regulations by implementing industry-recognized safeguards such as SSL and other security technologies, and implement management systems, such as emergency response plans, to protect your personal information. These measures aim to prevent unauthorized access, disclosure, use, or modification of your information, as well as to avoid data damage or loss.

RecCloud VoiceCap’s “Privacy Policy” (https://reccloud.com/privacy) is a fundamental document that underscores our commitment to protecting your personal information and privacy. We encourage you to review the detailed terms to ensure your legal rights are safeguarded.

RecCloud VoiceCap may collaborate with other companies or software providers. We will not share your personal information with third parties without your explicit consent and confirmation that they uphold the same level of privacy protection as RecCloud VoiceCap.

Service

1. You may use the RecCloud VoiceCap on its official platform or other authorized platforms and websites. However, if you access RecCloud VoiceCap through any unauthorized platforms or similarly named websites, RecCloud VoiceCap cannot guarantee the functionality of the platform you are using and will not be liable for any losses incurred as a result.

2. You can choose to use the free services of RecCloud VoiceCap based on your actual needs, or use the premium services after paying the membership fee.

3. To better serve you, we may periodically adjust the prices of our paid services and introduce new fees for specific features to reflect changes in commercial or legal regulations. The specific service prices will be as displayed on the payment page. When service prices change, we will make every effort to notify you of the adjustments through various channels (including but not limited to our official website and social media platforms) in advance. Unless otherwise specified in our notice, adjustments to the fees for the same paid services will take effect after the expiration of your current billing cycle and will be applicable when you make your next payment for the paid services.

4. If you do not agree to pay the new prices or other applicable fees, you may choose to discontinue subscribing to the paid service. If you have opted for automatic renewal and agree to pay the new prices or other applicable fees, you must follow the instructions provided in the fee adjustment notification to confirm your agreement to the adjusted fees for the automatically renewed paid service before the fee deduction for your next billing cycle. If you fail to provide such agreement in a timely manner, we will convert your subscribed paid service to a free service at the end of your current billing cycle and terminate your automatic renewal.

Intellectual Property

1. All content provided by our company in the RecCloud VoiceCap software and related services (including but not limited to software, technology, programs, web pages, text, images, graphics, trademarks, logos, audio, video, charts, layout designs, electronic documents, etc.) is the intellectual property of our company. The copyrights, patents, trademarks, and other intellectual property rights of the software underlying the services also belong to our company. Without our prior authorization, no one may use (including but not limited to monitoring, copying, disseminating, displaying, mirroring, uploading, or downloading the content of RecCloud VoiceCap software and related services through any robots, spiders, or other programs or devices) such content.

2. Under no circumstances may you use any of our company's trademarks, service marks, trade names, domain names, website names, or other distinctive brand features (collectively referred to as "Marks"), including but not limited to "VoiceCap," "RecCloud," "reccloud.com," "wangxutech.com," or "网旭." Without our prior written consent, you may not display, use, apply for trademark registration, register domain names, or otherwise handle these Marks, either individually or in combination, nor may you imply to others that you have the right to do so. If your unauthorized use of these Marks causes losses to our company or others, you shall bear full legal liability.

3. If the content you input is lawful—meaning you own the rights (including intellectual property rights) to such content or have obtained authorization from the rightful owner, the content complies with applicable laws and regulations, does not infringe on any third party's intellectual property rights, and does not violate public order or morals—then the rights to the output generated through our AI services belong to you. However, this does not apply if the laws and regulations of your jurisdiction explicitly prohibit such ownership.

Terms of Use for Minors

1. If you are a minor under the age of 18, or are classified as a child under applicable laws (e.g., under 13–16 years old per GDPR and EU member state laws), you must read and fully understand this agreement under the guidance of your guardian and obtain their consent before using this software. If you do not have your guardian's consent, your guardian may contact RecCloud VoiceCap to manage your account.

2. You and your guardian acknowledge and agree that if you violate any laws or regulations while using this software, you and your guardian shall bear all resulting legal liabilities.

3. You and your guardian acknowledge and agree that some services in this software may involve paid features. Guardians should properly manage and safeguard payment devices, accounts, and passwords to prevent minors from making purchases beyond their cognitive capacity.

Limitation of Liability and Disclaimer

1. You acknowledge and agree that RecCloud VoiceCap does not guarantee:

  • That the platform and related services will fully meet your requirements or expectations;
  • That the platform and related services will be uninterrupted;
  • That any errors in the platform and related services will be corrected.

2. You acknowledge and agree that if you download RecCloud VoiceCap or similarly named programs/software/websites from unauthorized sources, we cannot guarantee their proper functionality and shall not be liable for any losses incurred from using such programs/software.

3. You acknowledge and agree that RecCloud VoiceCap shall not be liable for any service interruptions or defects caused by force majeure events (defined as unforeseeable, unavoidable, and insurmountable objective circumstances that significantly impact one or both parties, including but not limited to natural disasters such as floods, earthquakes, epidemics, and social events such as wars, riots, government actions, telecommunication line failures, hacking, network congestion, technical adjustments by telecom departments, government regulations, or regulatory actions resulting in service suspension or shutdown) or similar causes. However, we will make commercially reasonable efforts to mitigate any resulting damages.

4. You acknowledge and agree that as an internet service provider, RecCloud VoiceCap cannot and does not conduct substantive reviews of your output content. Therefore, information and personal data you share while using RecCloud VoiceCap may be copied, reposted, altered, or used for purposes unrelated to your original intent. You fully understand and accept these risks, and agree that you bear sole responsibility for such risks, with RecCloud VoiceCap assuming no liability.

5. Our services may contain links to third-party websites or services not owned or controlled by RecCloud VoiceCap. We do not control, and disclaim all responsibility for, the content, privacy policies, or practices of any third-party websites or services. Your use of such third-party sites is at your own risk, and we strongly advise reviewing their terms, guidelines, and privacy policies.

6. Regardless of whether you have enabled auto-renewal for paid services, you may cancel your subscription at any time. As paid services are virtual products, cancellations will take effect at the end of the current billing cycle, and no refunds will be issued for payments already made.

Breach of Contract and Liability

1. If you violate this Agreement or any other agreement with the Company, the Company reserves the right to take appropriate actions at its sole discretion, including but not limited to issuing warnings, rejecting publication, immediately suspending information transmission, deleting content or comments, temporarily restricting posting privileges, limiting partial or full account functionality, terminating services, or permanently closing accounts. The Company shall not be liable for any consequences resulting from these measures, including your inability to use the account and related services normally or access account assets or benefits. The Company may announce enforcement results and decide whether to restore account access based on actual circumstances. For suspected violations of laws or regulations, the Company will retain relevant records and has the right to report to competent authorities, cooperate with investigations, or file police reports as required by law. Deleted content may not be restored.

2. If your breach of this Agreement or other terms leads to third-party complaints or legal claims, you shall handle them independently and bear all resulting legal liabilities. If your unlawful or contractual violations cause the Company to compensate third parties or incur penalties from government authorities, you shall fully indemnify the Company for all losses suffered.

3. The Company respects and protects the intellectual property rights, reputation rights, name rights, privacy rights, and other lawful rights of users and third parties. You warrant that any text, images, or other content uploaded or processed through RecCloud VoiceCap does not infringe upon any third party's intellectual property, reputation, name, privacy, or other lawful rights. Otherwise, the Company may remove the allegedly infringing content upon receiving notice from the rights holder or relevant parties. You shall handle all third-party claims independently and bear full legal responsibility. If your infringement causes losses to the Company (including but not limited to economic or reputational losses), you shall fully compensate the Company for all damages.

4. If you use text generated through RecCloud VoiceCap services to infringe upon others' rights, you shall handle the matter independently and bear all resulting legal liabilities. If your infringement causes losses to the Company (including but not limited to economic or reputational losses), you shall fully compensate the Company for all damages.

Other Terms

1. If any provision of this agreement is deemed invalid or unenforceable for any reason, it shall not affect the validity of the remaining provisions, which shall continue to be legally binding on both parties.

2. RecCloud VoiceCap reserves the right to modify any or all terms of this Agreement in accordance with laws, regulations, government requirements, or operational needs. Material updates will be prominently notified to users, and continued use of the services constitutes acceptance of the revised terms. Users refusing such modifications may terminate service access.

3. The formation, validity, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of Hong Kong.

4. This Agreement is executed in the Hong Kong Special Administrative Region. Parties shall first attempt amicable negotiation for any disputes arising hereunder. Failing resolution, disputes shall be exclusively submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration.

5. Section headings herein are for reference only and shall not affect the interpretation of contractual terms.

6. No failure by RecCloud VoiceCap to exercise or enforce any right under this Agreement shall constitute a waiver of such right.

7. For user convenience, this Agreement may be translated into multiple language versions. In case of discrepancies, the English version shall prevail.
